NOTICE: THE ATTACHED BYLAWS WERE APPROVED AT THE 2012 ANNUAL MEETING
Recent modifications to the bylaws were made after months of review and consideration by an Executive Board Sub-committee. These changes reflect the growth of the Society and the increase in the Society's activities. The 2012 changes to the Bylaws include the following: - Addition of a new membership classification of Volunteer
- Redefinition of the Board of Directors as Officers and permitting up to 16 Directors
- Clarification of the election process and duties of officers
- Clarification of the number of Board of Directors meetings required
- Provisions for electronic voting when necessary
- Definition of the role of the Nominating and Ad Hoc Committees
- Clarification of the purpose and timing of the Annual Meeting and requires Annual Report of board and committee activities
- Adds new Article XI: Policies which lists GTMS policies and requires an annual review of these policies
- Adds new Article XII: Indemnity of Officers and Directors
